1. Definitions
In these Terms and Conditions:

- "Client," "You," "Your" refers to individuals or entities engaging our services
- "Services" means franchise law services provided by our firm
- "Agreement" refers to the engagement letter and these Terms and Conditions

2. Acceptance of Terms
By engaging our services, submitting contact forms, or using our website, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services or website.
These terms apply in addition to any specific engagement letter or service agreement entered into between you and our firm.
3. Services Description
We provide franchise law services in Hong Kong, including:
- Franchise agreement preparation and documentation
- Franchisee advisory and disclosure document review
- Franchise network management and ongoing legal support
- Related legal services as agreed in engagement letters
Services are provided subject to the scope defined in individual engagement letters. We reserve the right to decline any service request that falls outside our expertise or creates conflicts of interest.
4. Client Responsibilities
As our client, you agree to:
- Provide accurate, complete, and timely information relevant to your legal matter
- Respond promptly to requests for information or documentation
- Inform us immediately of any changes affecting your legal matter
- Make timely payments for services rendered
- Follow legal advice provided or accept responsibility for contrary decisions
- Maintain confidentiality of privileged communications
5. Fees and Payment Terms
5.1 Fee Structure
Our fees are determined based on the specific services required and are outlined in engagement letters. Fees may be:
- Fixed fees for defined projects
- Hourly rates for ongoing matters
- Monthly retainers for continuous support
5.2 Payment Terms
- Invoices are payable within 14 days of issuance
- Payment may be required in advance for certain services
- Accepted payment methods: bank transfer, cheque, or as specified in engagement letters
- Late payments may incur interest charges at 1.5% per month
- All fees are quoted in Hong Kong Dollars (HKD)
5.3 Additional Costs
Disbursements, third-party fees, and out-of-pocket expenses are billed separately and payable by the client.
6. Confidentiality and Professional Privilege
All information you provide is protected by legal professional privilege and our professional obligations of confidentiality. We will not disclose your information except:
- With your express consent
- As required by law or court order
- To the extent necessary to provide legal services to you
- To prevent serious harm or criminal activity
- As permitted under Hong Kong Law Society rules
7. Limitation of Liability
7.1 Scope of Services
Our liability is limited to legal services explicitly agreed upon in engagement letters. We are not liable for:
- Business decisions made by clients based on or contrary to our advice
- Changes in law or interpretation occurring after advice is given
- Matters outside the scope of our engagement
- Actions or omissions of third parties
7.2 Damages Cap
To the maximum extent permitted by law, our total liability for any claim arising from our services shall not exceed the fees paid for the specific service giving rise to the claim.
7.3 Disclaimer
We provide legal advice but cannot guarantee specific outcomes. Legal matters involve uncertainties, and results depend on various factors beyond our control.
8. Intellectual Property
Documents and work product created for you belong to you upon full payment of fees. However:
- We retain intellectual property rights in our legal analysis methods and templates
- You may not use our work product as a template for others without permission
- We may retain copies of all documents for our files as required by professional regulations
9. Termination
9.1 Client Termination
You may terminate our engagement at any time by written notice. You remain responsible for:
- Payment of fees for work completed
- Reimbursement of disbursements incurred
- Reasonable fees for completing urgent matters to protect your interests
9.2 Our Termination Rights
We may terminate our engagement if:
- You fail to pay fees or provide necessary information
- A conflict of interest arises
- You request us to act contrary to professional obligations
- The professional relationship breaks down irretrievably
10. Dispute Resolution
Any disputes arising from our services shall be resolved as follows:
- Step 1: Direct discussion to resolve concerns informally
- Step 2: Written complaint to our managing partner
- Step 3: Mediation if informal resolution fails
- Step 4: Arbitration or litigation as a last resort
11. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the Hong Kong courts.
Our services are provided in accordance with Hong Kong Law Society rules and regulations governing legal practice.

Use of our website is subject to the following conditions:
